The agreement between you and Measrd LLC.
By using MEASRD products and services, you agree to these terms. Please read them carefully. If you don't agree, that's okay — but please don't use our services.
These Terms of Service ("Terms") govern your access to and use of the MEASRD application, website, AI agency services, and any related products or services (collectively, "Services") provided by Measrd LLC ("Company," "we," "our," or "us"), a company organized under the laws of the State of Florida.
By creating an account, accessing our website, or using any of our Services, you agree to be bound by these Terms. If you are using our Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Account Registration: You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 13 years of age to create an account.
Your Content: You retain full ownership of all content you create within the MEASRD app, including reflections, knowledge entries, cadence data, and echoes ("Your Content"). We do not claim any ownership rights over Your Content.
License to Us: You grant us a limited license to process Your Content solely to provide the Services — including AI analysis through the MINA engine. This license is limited to what's technically necessary and does not include the right to sell, share, or use Your Content for any purpose other than delivering the Services to you.
Encryption: Your Content is encrypted end-to-end. If you lose access to your encryption keys (e.g., by deleting your account), we cannot recover your data. Please keep your credentials secure.
Scope of Work: AI agency engagements are governed by individual project agreements ("Statements of Work") that define scope, timeline, deliverables, and pricing. These Terms apply in addition to any Statement of Work.
Client Data: Data provided to us for agency projects is handled according to the data processing terms in each Statement of Work. We do not share one client's data with another client.
Deliverables: Unless otherwise specified in a Statement of Work, you own the deliverables we create for you upon full payment. We retain the right to use anonymized project descriptions for portfolio purposes unless explicitly restricted.
Results Disclaimer: While we work diligently to deliver measurable outcomes, specific business results (revenue increases, lead generation numbers, etc.) are not guaranteed unless explicitly stated in a Statement of Work.
App Subscriptions: MEASRD may offer free and paid subscription tiers. Paid subscriptions are billed through the Apple App Store and are subject to Apple's terms. Subscription prices may change with notice.
Agency Payments: Agency project payments are governed by individual Statements of Work. Unless otherwise specified, a deposit is required before work begins, with remaining balance due upon delivery.
Refunds: App subscription refunds are handled through Apple's refund process. Agency service refunds are addressed on a case-by-case basis as outlined in each Statement of Work.

The MEASRD brand, app, website, design system, MINA AI engine, Filament consciousness fingerprinting system, and all related intellectual property belong to Measrd LLC. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
Your Content remains yours. Our technology remains ours. We believe this boundary should be simple and clear.
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Not Medical or Therapeutic Advice: MEASRD is a consciousness tracking tool, not a medical device, therapeutic tool, or substitute for professional mental health care. If you are experiencing mental health concerns, please consult a qualified professional.
AI Limitations: The MINA AI engine provides insights based on pattern recognition. Its analysis should be considered one perspective among many — not definitive truth. AI outputs may occasionally be inaccurate or unexpected.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEASRD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You may terminate your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Services ceases immediately. For app users, encrypted data deletion follows the process outlined in our Privacy Policy.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Lee County, Florida.
We may revise these Terms from time to time. Material changes will be communicated via email and/or in-app notification at least 30 days before they take effect. Your continued use after changes become effective constitutes acceptance.
